01About these terms

These terms apply when you use the Mobeius website or any service from Mobeius Technologies Pty Ltd. By using the site or engaging us, you agree to them.

02What we offer

We provide two kinds of service:

• Build: fixed-fee project work, including websites, online stores, custom web applications, mobile apps and AI or automation tools. Build work is quoted and billed at a fixed price agreed before we begin.
• Grow: ongoing growth and operations work, including digital marketing, business process outsourcing and team outsourcing. Grow work may include a one-time setup cost, followed by ongoing payment based on results, as set out in a separate service agreement for each engagement.

The exact scope, deliverables, timeline and price for any project are set out in a written quote or agreement. Once both parties accept it, it forms part of these terms.

03Quotes and payment

• Once a Build quote is agreed in writing, the price stays fixed unless you consent to a change, except where the agreed scope changes.
• Pricing for Grow services is agreed individually and set out in a separate service agreement.
• Where Grow work involves advertising, you pay the advertising platform directly. Mobeius does not receive, mark up or take any share of your ad spend.
• Deposits, milestones and other payment terms are set out in your project agreement.
• Late payments may attract additional fees or cause ongoing work to be paused.

04Your responsibilities

So we can do our job well, you agree to:

• give feedback, content and approvals in good time;
• provide accurate information the project needs;
• pay according to the agreed terms; and
• make sure you have the right to use any material you give us.

05Intellectual property

Build: once you have paid in full, ownership of the final website, application or tool passes to you, unless we agree otherwise in writing. Mobeius keeps the right to reuse its underlying tools, frameworks and non-client-specific code on other projects.

Grow: material made specifically for your campaigns, such as ad creative, content and copy, becomes yours once paid for. Mobeius keeps ownership of its own methods, processes and tools.

We may show completed work in our portfolio and marketing unless you ask us in writing to keep it confidential.

06Warranties and limits

We deliver every service with reasonable care and skill. However:

• We cannot guarantee particular business outcomes, sales figures or search rankings from Grow services, because these depend on things outside our control, including market conditions and decisions you make.
• Build deliverables are tested and working at handover. Ongoing maintenance, hosting and changes made by third-party platforms are your responsibility unless covered by a separate support agreement.
• As far as the law allows, our liability for any claim about our services is limited to the amount you paid for the specific service the claim relates to.

Nothing in these terms excludes, restricts or changes any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.

07Ending an engagement

Either party may end an ongoing Grow engagement by giving written notice, as set out in the relevant service agreement. Once a Build project has been scoped and started, cancellation is governed by the project agreement, which may include paying for work completed so far.

08Confidentiality

Both parties agree to keep confidential any non-public business, technical or financial information shared during the engagement, except where the law requires disclosure.

09Governing law

These terms are governed by the laws of New South Wales, Australia. Any dispute about these terms or our services falls under the exclusive jurisdiction of the courts of New South Wales.

10Changes to these terms

We may update these terms from time to time. If you keep using the website or our services after an update is posted, you accept the updated terms.
